Job Description

We are looking for an Associate Agreements Officer/Agreements Officer to play a key role in LLNL's technology transfer mission. You will draft, negotiate, recommend for approval, and manage partnership, commercialization, licensing, and IP management agreements from inception through post execution. Additionally, you will advise research staff involved with technology transfer agreements on the statutory, policy, and procedural requirements at LLNL. This position reports to the Agreements Group Leader in the Innovation and Partnerships Office (IPO) within the Director's Office.

This position may offer a hybrid schedule, which includes the flexibility to work from home one or moredays per week, after a probationary period. The specifics of the hybrid schedule, including the exact number of days required in the office and virtual work options may vary based on the needs of the team and the organization.

This position will be filled at eitherlevel based on knowledge and related experience as assessed by the hiring team. Additional job responsibilities (outlined below) will be assigned if hired at the higher level.

You will

  • Partner with IPO's Business Development Executives, LLNL researchers, legal counsel, financial staff and other LLNL stakeholders and non-federal partners to contribute to and translate partnering opportunities and intellectual property management needs into appropriate technology transfer agreements.
  • Draft, edit, and contribute to negotiation and execution for agreements, such as Cooperative Research and Development Agreements (CRADA), Agreements for Commercializing Technology (ACT), Intellectual Property Management Agreements, License Agreements, MTAs, NDAs, DTAs, etc., between Lawrence Livermore National Security, LLC (LLNS) and non-federal entities (industry, academia, foreign organizations, non-profits, etc.), with terms acceptable to both LLNL and the U.S. Department of Energy (DOE) and in compliance with applicable statutes, policies and procedures.
  • Actively direct all approval workflows for negotiated agreements for efficient execution.
  • Maintain databases to ensure complete lifecycle tracking of intellectual property and agreement commitments, critical flow of legal documents from inception to execution, and reporting of LLNL technology transfer metrics and data.
  • Provide guidance to LLNL research and stakeholder staff members seeking to enter into agreements with non-federal entities.
  • Participate in technology transfer organizations to remain abreast of trends and best practices.
  • Perform other duties as assigned.

Additional job responsibilities, at the SES.2 level

  • Serve as the primary Agreements Officer for multiple IPO portfolio areas, managing multiple complex agreements.
  • Work under limited direction to independently negotiate complex agreements, recommending approved alternate clauses or customized terms when appropriate.
  • Recommend new frameworks and collaborative structures to address evolving needs and best practices for technology transfer and collaborations, including with consortia.
  • Contribute to the informal mentorship of IPO staff on LLNL technology transfer agreement policies, procedures, processes, and information management.
  • Support the Group Leader in creating IPO agreement metrics and reports.

Qualifications
  • Ability to secure and maintain a U.S. DOE Q-level security clearance which requires U.S. citizenship.
  • Bachelor's degree in business administration, science, or equivalent combination of education and related contract administration and management experience.
  • Sufficient technology transfer knowledge and experience, including with IP agreements, NDAs, MTAs, license agreements, and CRADAs.
  • Successful deal negotiation and execution experience.
  • Ability to review, revise, prepare, and process legal agreements to ensure compliance with LLNS obligations.
  • Demonstrated independent problem-solving and decision-making skills.
  • Fundamental organizational skills, attention to detail, accuracy, agility, flexibility, and ability to prioritize tasks under time pressure.
  • Sufficient communication skills, including the ability to build effective business relationships, collaborate effectively in a team environment and present and explain technical information.
  • Ability to work independently, proactively, and collaboratively on assigned portfolios, with frequently changing priorities.

Additional qualifications at the SES.2 level

  • Strong technology transfer competency.
  • Demonstrated ability to independently execute complex projects.
  • Comprehensive knowledge of licensing and industrial research and development collaborations.
  • Broad experience with contract administration, intellectual property, and contract law.
  • Demonstrated experience in drafting, negotiating and executing complex partnership agreements and IP licenses.
  • Proficient relationship management, collaboration, and communication skills across a matrixed organization, including technical, legal, and business professionals.
  • Demonstrated ability to provide actionable input to leadership.

Qualifications We Desire

  • Masters, PhD, or MBA degree and relevant experience in a related business, operational and/or organizational area.
  • Experience with DOE regulatory requirements for partnership mechanisms, technology licensing, and IP including familiarity with applicable DOE orders, Federal Acquisition Regulations, and DEAR clauses.
  • Experience communicating with all levels of an organization, including senior leadership.
  • Ability and willingness to learn new concepts and to take on new and challenging assignments.
  • Data management and analysis skills, and knowledge and experience in developing complex Microsoft and AI based business intelligence tools for use in federal laboratory research organizations.
  • Experience in drafting, negotiating and executing CRADA and intellectual property licenses on behalf of a DOE national laboratory.
  • Experience with Software copyrights and licensing.

Pay Range

$121,830 - $154,500 Annually for the SES.1 level

$146,340 - $185,544 Annually for the SES.2 level

This is the lowest to highest salary we in good faith believe we would pay for this role at the time of this posting; pay will not be below any applicable local minimum wage. An employee's position within the salary range will be based on several factors including, but not limited to, specific competencies, relevant education, qualifications, certifications, experience, skills, seniority, geographic location, performance, and business or organizational needs.
