The Corporate legal team sits at the center of Fox's Television, Sports, Entertainment, Technology, Streaming, and Creator Economy businesses, providing legal support to our divisions as we continue to transform Fox through game-changing deals and strategic transactions.

The Director, Business and Legal Affairs is a partner to Fox's corporate development and strategy team, business unit leads, and other senior executives and is integrally involved in the business and legal aspects of Fox's acquisitions, divestitures, investments, and other strategic transactions.The Director, Business & Legal Affairs also provides legal support for Fox Studio Lot operations, production facilities, real estate, and procurement and sourcing teams on a variety of projects. Responsibilities include advising and liaising with key business and legal stakeholders, drafting and negotiating a wide variety of agreements, and managing transactions from start to finish.

A SNAPSHOT OF YOUR RESPONSIBILITIES

  • Lead and manage M&A transactions from inception to completion, including transaction structure, due diligence, negotiation, and execution of agreements

  • Advise clients on legal and business issues related to mergers, acquisitions, joint ventures, and other strategic transactions

  • Draft, review, and negotiate a wide range of legal documents supporting strategic transactions, including term sheets, purchase agreements, operating agreements, diligence requests, and non-disclosure agreements, as well as business operations, including for commercial goods and services, real estate, construction, and facilities operations, maintenance, and improvements

  • Collaborate with cross-functional teams, including corporate development and strategy, finance, tax, privacy and information security, intellectual property, litigation, facilities management, global sourcing, real estate, human resources, and compliance to ensure seamless transaction execution and optimal post-closing integration and facilities operations

  • Provide overall project management for complex and often multi-jurisdictional transactions

  • Build and maintain strong relationships with clients and other transaction and business operations stakeholders

WHAT YOU WILL NEED

  • Juris Doctor degree

  • 4-6+ years of transactional legal experience

  • Strong analytical and problem-solving skills with attention to detail

  • Strong understanding of mergers and acquisitions, joint ventures, investments, and related agreements, with a proven track record of successfully managing complex M&A transactions

  • Familiarity with a variety of commercial and real estate contracts, including strategic sourcing transactions, and technology-driven solutions (e.g., SaaS platforms)

  • Working knowledge of intellectual property, privacy, and data security law

  • Ability to simultaneously manage multiple projects, often with shifting priorities and deadlines

  • Excellent negotiation, reasoning, and verbal and written communication skills

  • Adept at effectively working with individuals from a variety of fields, backgrounds, and levels, and collaborating with clients, peers, and multiple subject matter experts

  • Advanced proficiency using Word

  • *Active member of the California bar; will consider those eligible for Registered In-House Counsel status (Rule 9.46)

  • Experience with DeltaView and iManage

Pursuant to state and local pay disclosure requirements, the pay rate/range for this role, with final offer amount dependent on education, skills, experience, and location is $128,000.00-175,000.00 annually. This role is also eligible for an annual discretionary bonus, various benefits, including medical/dental/vision, insurance, a 401(k) plan, paid time off, and other benefits in accordance with applicable plan documents. Benefits for Union represented employees will be in accordance with the applicable collective bargaining agreement.
