Implements the highest corporate governance standards and structure. Provides leadership on corporate compliance initiatives.

ESSENTIAL FUNCTIONS:

  • Implements the highest corporate governance standards and structure.

  • Provides legal support for all SEC filings and reporting activities

  • Provides legal support for finance/treasury initiatives, including capital markets transactions

  • Supports the Board of Directors and Board Committees, including meeting prep and support t and annual stockholder meeting

  • Provides legal support for IR, including investor outreach

  • Provides legal support and special advice to key clients in HR, Executive Compensation, and Finance

  • Provides legal support on corporate sustainability matters, including reporting

  • Writes, reviews, and advises on legal contracts and agreements

  • Performs other related duties as required


MINIMUM EDUCATION:

Juris Doctorate Degree and admission to the Tennessee Bar.

MINIMUM EXPERIENCE:

Significant related experience as an attorney with substantial experience in general corporate and securities law, mergers and acquisitions, corporate finance, executive and employee benefits.

Demonstrably successful management experience. Strong management, negotiation and communications skills.

KNOWLEDGE, SKILLS AND ABILITIES:

  • Broad range of relevant legal knowledge

  • Proven ability to apply sound legal and business judgment to establish and accomplish goals

  • Strong project management skills

  • Effective organizational, time-management, self-directing and multi-tasking skills, and ability to successfully work with others in a fast-paced environment.

  • Excellent written and verbal communication, interpersonal, and presentation skills.


Preferred Qualifications: Significant related experience as an attorney with substantial experience in a broad range of securities, corporate governance, corporate finance, and executive compensation law matters. Demonstrably successful management experience. Strong management, negotiation, presentation, and communication skills.
