Job Description
Overview: Agilent is seeking an experienced corporate or senior corporate counsel to be a member of the Corporate practice group of the Agilent legal department, focusing principally on supporting Agilent's M&A program. This group provides legal counsel and support regarding, among other things, strategic transactions (including M&A, divestitures, joint ventures and equity investments), corporate and securities matters including '34 Act and other securities laws compliance, corporate governance and Board of Director support, stock plan administration, and executive compensation Company: Agilent is an S&P 500 global company headquartered in Santa Clara, California and operating in 30 countries, that provides instruments, software, services, and consumables for laboratories. Agilent was established in 1999 as a spin-off from Hewlett-Packard. The Company has pivoted from optics, semiconductors, and test & measurement equipment for electronics and now focuses on pharmaceutical, chemical and advanced material, food safety, environmental and forensics, diagnostics & clinical, and academia & government (research) markets. Two-thirds of their business is conducted outside of the US. Experience: Minimum of 5 years of M&A experience, including training at a large law firm. Securities law and SEC reporting and compliance matters, including earnings press releases, periodic reports, proxy statements and annual reports, disclosure advice, and investor relations, shareholder engagement, corporate finance, treasury and communications support experience is preferred but not required. Location: Santa Clara, CA. For local candidates, Flexible Workplace program available: 3 days in the office (Tues-Thurs); 2 days remote preferred. For remote candidates, ability to commute one week per quarter expected. Bar: Candidate must be admitted to a US state bar. Non-California bar members must be qualified to practice law in California as registered in-house counsel. While Agilent is looking for a well-rounded candidate, this role will focus principally on providing legal support for mergers, acquisitions, divestitures, joint ventures, and strategic investments, with a strong emphasis on due diligence, transaction structuring, and contract negotiation. The ideal candidate will have significant M&A experience in a large law firm or corporate environment and a proven ability to lead and manage complex transactions with minimal supervision. Additional Details This job has a full time weekly schedule. It includes the option to work remotely. The full-time equivalent pay range for this position is $251,232.00 - $392,550.00/yr plus eligibility for bonus, stock and benefits. Our pay ranges are determined by role, level, and location. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training.
