Your Role at Vantive:

Join Vantive as a Senior Counsel, Global Investigations - Ethics & Compliance and help drive our mission of Extending Lives and Expanding Possibilities. As a member of our Ethics and Compliance (E&C) group within the Legal Department, you will lead Vantive's global investigations function, reporting directly to the Associate General Counsel, E&C Investigations/Governance/Operations, and playing a vital role in our global business.

In this exciting opportunity, you will lead the team that conducts internal investigations of potential violations of Vantive's Code of Conduct, internal policies, and the laws and regulations of various countries where Vantive operates. Subject matter will include anti-corruption, fraud, and other types of corporate misconduct. You will be directly responsible for Vantive's internal investigations in the Americas region and collaborate with and manage team members in the APAC and EMEA regions. The investigations team also oversees Vantive's Ethics & Compliance Helpline and provides investigative support to other internal functions if necessary.

The team's work relies on close collaboration with colleagues across E&C, as well as Legal, HR, Finance, and other groups. You will continue to enhance these relationships, contributing to the growth and development of our investigations function as we build out a new company. The ideal candidate will have a strong background in the use and continuous improvement of processes and tools used in global investigations and/or Ethics & Compliance programs. Experience with trade compliance and antitrust laws may be leveraged in this role, if the individual hired has these skills in their professional background.

Additional Responsibilities:

  • Manage the triage of all allegations and reports raised to E&C via the Company's E&C Helpline, colleagues, or other means

  • Collaborate with and manage outside counsel, as appropriate

  • Mentor and contribute to the professional development of a global team made up of experienced professionals

  • Collaborate with E&C team members, IT Security / Cyber, Corporate Audit, Internal Controls, Labor & Employment, and other teams to identify and triage risks that may require investigation or other handling

  • Collaborate with and provide guidance to E&C team members and colleagues in other functions, in the United States and abroad, during internal investigations and other projects

  • Assist with E&C due diligence related to Company's mergers & acquisitions activity

  • Refine, develop, and document investigations-related and other compliance processes to enhance the operational efficiency of the E&C Investigations function; enhance the implementation and operation of Vantive's global Ethics & Compliance Program

  • Perform special E&C-related projects on an ad hoc basis

Required Skills:

  • Juris Doctorate (J.D.) from an accredited law school (if law degree from outside United States, add an LLM from an accredited U.S. law school)

  • 8 years or more of experience relevant to the position's responsibilities

  • Experience conducting internal corporate investigations of potential violations of legal/regulatory requirements and of corporate requirements/expectations, focusing on activities both in and outside the United States

  • Experience managing multiple investigation workstreams and external/internal resources (counsel, consultants, etc.)

  • Experience with US and foreign anti-corruption laws, including the U.S. Foreign Corrupt Practices Act (FCPA)

  • Experience with or exposure to interactions with U.S. and foreign enforcement or regulatory agencies

  • Elevated level of integrity and ethics in business conduct

  • Experience managing direct reports

  • Fluency in English

  • Ability to travel domestically and internationally for assignments as needed

Preferred Skills:

  • A mix of related experience from time spent in both private practice and in-house roles

  • Knowledge of and experience with pharmaceutical and medical device regulation, including product registration, licensing, and promotion

  • Experience conducting sensitive Employee Relations investigations

  • Knowledge of, or experience with, trade compliance, particularly U.S. export controls and sanctions laws and regulations, and antitrust laws, may be applicable to this role's responsibilities

  • Excellent ability to inspire and influence employees, at every level, to embrace Vantive's Ethics and Compliance initiatives

  • Effectiveness operating in complex organizational environments and initiative-taker qualities that will translate well in a large matrixed organization

  • Spanish or other language capabilities

We understand compensation is an important factor as you consider the next step in your career. At Vantive, we are committed to equitable pay for all employees, and we strive to be more transparent with our pay practices. The estimated base salary for this position is $224,000 to $280,000 annually. The estimated range is meant to reflect an anticipated salary range for the position. We may pay more or less than the anticipated range based upon market data and other factors, all of which are subject to change. Individual pay is based upon location, skills and expertise, experience, and other relevant factors. This position is also eligible for a discretionary bonus, and long-term incentive.
