New York Corporate Senior Associate

Senior Associate, Winston & Strawn LLP, New York, New York

Represent U.S. & international issuers, institutional investors, underwriters, & placement agents in public & private offerings of debt & equity securities. Lead & negotiate moderately complex transactions. Supervise Associates. Review draft memoranda, legal opinions, & transaction documents. Advise on cross-border corporate projects.

Must have a JD from an ABA-accredited law school and 4 years of experience as an Associate at an international law firm (i) working on SPAC transactions; (ii) advising corporate clients on public & private debt & equity offerings, public M&A, PIPEs, Exchange Act reporting, day-to-day governance matters including SEC & stock exchange compliance, & public company disclosure obligations; and (iii) coordinating & supervising due diligence teams. Experience may be gained concurrently. Must also be licensed to practice law in New York. Salary Range $295k-$370k.
