Job Summary

The Associate Industry Contracts Officer (ICO) is responsible for the review, negotiation and execution of all industry sponsored research agreements. The incumbent determines the nature and scope of the relationship of UCSF investigators to industry sponsors, and develops the business terms of the research project. Other duties include providing consultation to faculty, campus administrators and industry sponsor representatives in such areas as UC clinical research procedures, policies, and contract language; training and educating campus about Industry Sponsored Agreements - Policies, Practices, etc., and participating in the strategy planning and implementation with Director of ICD to increase, broaden, develop and maintain UCSF relations with industry.

The AICO acts as a responsible business official for the University, and performs other duties as assigned. Draft, negotiate and administer Material Transfer Agreements (MTAs), Non-Disclosure Agreements (NDAs), Equipment Loan agreements, Clinical Service Agreements, Clinical Trial Agreements (CTAs) and other industry sponsored research and collaboration agreements. Support companies who wish to sponsor research. Facilitate compliance and administration of federal and state laws regarding research, conflict of interest, IP, contracts and employment. Works on problems of moderate scope where analysis of situations or data requires a review of a variety of factors. Works under direction of higher-level officer where some interpretation of established work policies and procedures is required, and, at times deviation from standard work practices may be needed.

The final salary and offer components are subject to additional approvals based on UC policy.

Your placement within the salary range is dependent on a number of factors including your work experience and internal equity within this position classification at UCSF. For positions that are represented by a labor union, placement within the salary range will be guided by the rules in the collective bargaining agreement.

The salary range for this position is $94,400 - $201,800 (Annual Rate).

Department Description

The Industry Contracts Division (ICD) of the Office of Innovation, Technology and Alliances is responsible for negotiating and signing all industry research contracts between UCSF and Industry Sponsors. This includes clinical trial agreements, material transfer agreements (incoming materials of all types and outgoing clinical specimen or data), sponsored research agreements, grants, and confidentiality agreements, unfunded research collaborations, equipment loan agreements, clinical service agreements and other research agreements with industry.

Required Qualifications


  • Bachelor's degree in related area
  • Business development and/or contracts experience, including drafting and negotiating agreements
  • Skill in analyzing information and objectives to define problems, ability to identify relevant issues or concerns, formulate alternatives to affect resolution, and select alternative resolutions having evaluated risk benefit; ability to interpret the varying objectives and needs of investigators and sponsors in order to provide advice on appropriate mechanism for support
  • Demonstrated customer service skills in a fast-paced, high-volume, dynamic and intellectually challenging work environment. Sensitivity to sponsor and investigator confidentiality
  • Ability to prioritize diverse projects and exceptional time management skill
  • Ability to be flexible and to work with various personalities; ability to work independently yet know when to ask questions; team player open to suggestions and guidance
  • Exceptional inter-personal and communication skills; oral and written; good decision-making skills

Preferred Qualifications


  • Advanced degree preferred
  • Working knowledge of and application of standard principles, theories and concepts such as laws, regulations, and practices pertaining to the protection and management of intellectual property, university technology transfer, and general scientific and / or technical skills in subject matter area
  • Knowledge of intellectual property law
  • Knowledge of UC policies and practices with regards to industry relations
  • Prior work experience in industry, preferably in the biotech, life sciences, pharmaceutical, or technology industries; preferably experience in negotiating and/or managing one or more of the following - clinical trial agreements, industry collaboration agreements, industry-sponsored research agreements and/or material transfer agreements, with special attention to intellectual property issues including patents, trademarks, copyrights, and software administration and licensing
  • Prior University research administration experience
